{"data":{"id":"us-ky/krs-271b.13-300","jurisdiction":"us-ky","citation":"KRS 271B.13-300","heading":"Court action.","body":"(1) If a demand for payment under KRS 271B.13 -280 remains unsettled, the\ncorporation shall commence a proceeding within sixty (60) days after receiving the\npayment demand and petition the court to determine the fair value of the shares and\naccrued interest. If  the corporation does not commence the proceeding within the\nsixty (60) day period, it shall pay each dissenter whose demand remains unsettled\nthe amount demanded.\n(2) The corporation shall commence the proceeding in the Circuit Court of the county\nwhere a corporation's principal office (or, if none in this state, its registered office)\nis located. If the corporation is a foreign corporation without a registered office in\nthis state, it shall commence the proceeding in the county in this state where the\nregistered office of the domestic corporation merged with or whose shares were\nacquired by the foreign corporation was located.\n(3) The corporation shall make all dissenters (whether or not residents of this state)\nwhose demands remain unsettled parties to th e proceeding as in an action against\ntheir shares and all parties shall be served with a copy of the petition. Nonresidents\nmay be served by registered or certified mail or by publication as provided by law.\n(4) The jurisdiction of the court in which the p roceeding is commenced under\nsubsection (2) of this section shall be plenary and exclusive. The court may appoint\none (1) or more persons as appraisers to receive evidence and recommend decision\non the question of fair value. The appraisers have the powers  described in the order\nappointing them, or in any amendment to it. The dissenters shall be entitled to the\nsame discovery rights as parties in other civil proceedings.\n(5) Each dissenter made a party to the proceeding shall be entitled to judgment:\n(a) For the amount, if any, by which the court finds the fair value of his shares,\nplus interest, exceeds the amount paid by the corporation; or\n(b) For the fair value, plus accrued interest, of his after -acquired shares for which\nthe corporation elected to withhold payment under KRS 271B.13-270.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=13445","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:19Z","sha256":"1c8fb5b9a88ed2c62bb0ab1f1cae36d42b35e3631ac242dca58405b236d2ad15","source_id":"us-ky","stale":false,"prev":"us-ky/krs-271b.13-280","next":"us-ky/krs-271b.13-310"},"notice":"GroundRules: Original legal text.
