{"data":{"id":"us-ky/krs-271b.14-030","jurisdiction":"us-ky","citation":"KRS 271B.14-030","heading":"Articles of dissolution.","body":"(1) At any time after dissolution is authorized, the corporation may dissolve by\ndelivering to the Secretary of State for filing an original and three (3) exact or\nconformed copies of articles of dissolution setting forth:\n(a) The name of the corporation;\n(b) The date dissolution was authorized;\n(c) If dissolution was approved by the shareholders:\n1. The number of votes entitled to be cast on the proposal to dissolve; and\n2. Either the total number of votes cast for and against dissolution or the\ntotal number o f undisputed votes cast for dissolution and a statement\nthat the number cast for dissolution was sufficient for approval; and\n(d) If voting by voting groups was required, the information required by\nsubsection (1)(c) of this section shall be separately pro vided for each voting\ngroup entitled to vote separately on the plan to dissolve.\n(2) The Secretary of State shall immediately forward one (1) of the exact or conformed\ncopies of the articles of dissolution to the secretary of revenue.\n(3) A corporation shall be dissolved upon the effective date of its articles of dissolution.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=13449","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:20Z","sha256":"457efdf928ae8b34b3278ea9311087d1c8461dbc441dc172d322f4c7d02b6e61","source_id":"us-ky","stale":false,"prev":"us-ky/krs-271b.14-020","next":"us-ky/krs-271b.14-040"},"notice":"GroundRules: Original legal text.
