{"data":{"id":"us-ky/krs-271b.14-040","jurisdiction":"us-ky","citation":"KRS 271B.14-040","heading":"Revocation of dissolution.","body":"(1) A corporation may revoke its dissolution within one hundred twenty (120) days of\nits effective date.\n(2) Revocation of dissolution shall be authorized in the same manner as the dissolution\nwas authorized unless that authorization permitted revocation by action of the board\nof directors alone, in which event the board of directors may revoke the dissolution\nwithout shareholder action.\n(3) After the revocation of dissolution is authorized, the corporation may revoke the\ndissolution delivering to the Secretary  of State for filing articles of revocation of\ndissolution, together with a copy of its articles of dissolution, that set forth:\n(a) The name of the corporation;\n(b) The effective date of the dissolution that was revoked;\n(c) The date that the revocation of dissolution was authorized;\n(d) If the corporation's board of directors (or incorporators) revoked the\ndissolution, a statement to that effect;\n(e) If the corporation's board of directors revoked a dissolution authorized by the\nshareholders, a statement that revocation was permitted by action by the board\nof directors alone pursuant to that authorization; and\n(f) If shareholder action was required to revoke the dissolution, the information\nrequired by subsection (1)(c) or (1)(d) of KRS 271B.14-030.\n(4) Revocation of dissolution shall be effective upon the effective date of the articles of\nrevocation of dissolution.\n(5) When the revocation of dissolution is effective, it shall have the effect provided in\nKRS 14A.7-030(3).","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=40433","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:20Z","sha256":"31682043d8b65beb91aea2b69a5cfce72c854bbe29aa343516745ef09026fe0f","source_id":"us-ky","stale":false,"prev":"us-ky/krs-271b.14-030","next":"us-ky/krs-271b.14-050"},"notice":"GroundRules: Original legal text.
