{"data":{"id":"us-ky/krs-271b.14-070","jurisdiction":"us-ky","citation":"KRS 271B.14-070","heading":"Unknown claims against dissolved corporation.","body":"(1) A dissolved corporation may also publish notice of its dissolution and request that\npersons with claims against the corporation present them in accordance with the\nnotice.\n(2) The notice shall:\n(a) Be published one (1) time in a newspaper of general circul ation in the county\nwhere the dissolved corporation's principal office (or, if none in this state, its\nregistered office) is or was last located;\n(b) Describe the information that must be included in a claim and provide a\nmailing address where the claim may be sent; and\n(c) State that a claim against the corporation will be barred unless a proceeding to\nenforce the claim is commenced within two (2) years after the publication of\nthe notice.\n(3) If the dissolved corporation publishes a newspaper notice in ac cordance with\nsubsection (2) of this section, the claim of each of the following claimants shall be\nbarred unless the claimant commences a proceeding to enforce the claim against the\ndissolved corporation within two (2) years after the publication date of the\nnewspaper notice:\n(a) A claimant who did not receive written notice under KRS 271B.14-060;\n(b) A claimant whose claim was timely sent to the dissolved corporation but not\nacted on; and\n(c) A claimant whose claim is contingent or based on an event occur ring after the\neffective date of dissolution.\n(4) A claim may be enforced under this section:\n(a) Against the dissolved corporation, to the extent of its undistributed assets; or\n(b) If the assets have been distributed in liquidation, against a shareholder  of the\ndissolved corporation to the extent of his pro rata share of the claim or the\ncorporate assets distributed to him in liquidation, whichever is less, but a\nshareholder's total liability for all claims under this section shall not exceed\nthe total amount of assets distributed to him.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=13453","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:20Z","sha256":"7e892ef7cbcc283473023afeed1bd7d1c81a182960176bfad9c0c91a69914df8","source_id":"us-ky","stale":false,"prev":"us-ky/krs-271b.14-060","next":"us-ky/krs-271b.14-200"},"notice":"GroundRules: Original legal text.
