{"data":{"id":"us-ky/krs-271b.16-010","jurisdiction":"us-ky","citation":"KRS 271B.16-010","heading":"Corporate records.","body":"(1) A corporation shall keep as permanent records minutes of all meetings of its\nshareholders and board of directors, a record of all actions taken by the shareholders\nor board of directors without a meeting, and a record of all actions taken by a\ncommittee of the board of directors in place of the board of directors on behalf of\nthe corporation.\n(2) A corporation shall maintain appropriate accounting records.\n(3) A corporation or its agent shall maintain a record of its shareholders, in a form that\npermits preparation of a list of the names and addresses of all shareholders, by class\nof shares showing the number and class of shares held by each.\n(4) A corporation shall maintain its records in written form or in another form capable\nof conversion into written form within a reasonable time.\n(5) A corporation shall keep a copy of the following records at its principal office:\n(a) Its articles or restated articles of incorporation and all amendments to them\ncurrently in effect;\n(b) Its bylaws or restated bylaws and all amendments to them currently in effect;\n(c) Resolutions adopted by its board of directors creating one (1) or more classes\nor series of shares, and fixing their relative rights, preferences, and limitations,\nif shares issued pursuant to those resolutions are outstanding;\n(d) The minutes of all shareholders' meetings, and records of all action taken by\nshareholders without a meeting, for the past three (3) years;\n(e) All written communications to shareholders generally within the past three (3)\nyears, including the financial statements furnished for the past three (3) years\nunder KRS 271B.16-200;\n(f) A list of the names and business addresses of its current directors and officers;\nand\n(g) Its most recent annual report delivered to the Secretary of State u nder KRS\n14A.6-010.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=36657","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:20Z","sha256":"002de60705b987e1f86124a924726f672d5f0cebdd7c727234d5014106a5ee56","source_id":"us-ky","stale":false,"prev":"us-ky/krs-271b.15-320","next":"us-ky/krs-271b.16-020"},"notice":"GroundRules: Original legal text.
