{"data":{"id":"us-ky/krs-271b.16-020","jurisdiction":"us-ky","citation":"KRS 271B.16-020","heading":"Inspection of records by shareholders.","body":"(1) A shareholder of a corporation shall be entitled to inspect and copy, during regular\nbusiness hours at the corporation's principal office, any of the records of the\ncorporation described in subsection (5) of KRS 271B.16 -010 if he gives the\ncorporation written notice of his demand at least five (5) business days before the\ndate on which he wishes to inspect and copy.\n(2) A shareholder of a corporation shall be entitled to inspect and copy during regular\nbusiness hours at a reasonable location specified by th e corporation any of the\nfollowing records of the corporation if the shareholder meets the requirements of\nsubsection (3) of this section and gives the corporation written notice of his demand\nat least five (5) business days before the date on which he wis hes to inspect and\ncopy:\n(a) Excerpts from minutes of any meeting of the board of directors, records of any\naction of a committee of the board of directors while acting in place of the\nboard of directors on behalf of the corporation, minutes of any meeting  of the\nshareholders, and records of action taken by the shareholders or board of\ndirectors without a meeting, to the extent not subject to inspection under\nsubsection (1) of this section;\n(b) Accounting records of the corporation; and\n(c) The record of shareholders.\n(3) A shareholder may inspect and copy the records described in subsection (2) of this\nsection only if:\n(a) His demand is made in good faith and for a proper purpose;\n(b) He describes with reasonable particularity his purpose and the records he\ndesires to inspect; and\n(c) The records are directly connected with his purpose.\n(4) The right of inspection granted by this section shall not be abolished or limited by a\ncorporation's articles of incorporation or bylaws.\n(5) This section shall not affect:\n(a) The right of a shareholder to inspect records under KRS 271B.7 -200 or, if the\nshareholder is in litigation with the corporation, to the same extent as any\nother litigant;\n(b) The power of a court, independently of this chapter, to compel the product ion\nof corporate records for examination.\n(6) For purposes of this section, \"shareholder\" includes a beneficial owner whose shares\nare held in a voting trust or by a nominee on his behalf.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=13479","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:20Z","sha256":"21901160e8646d31f5175053478b6008b159b29ae409403903b5bd3b5010f47a","source_id":"us-ky","stale":false,"prev":"us-ky/krs-271b.16-010","next":"us-ky/krs-271b.16-030"},"notice":"GroundRules: Original legal text.
