{"data":{"id":"us-ky/krs-271b.16-040","jurisdiction":"us-ky","citation":"KRS 271B.16-040","heading":"Court-ordered inspection.","body":"(1) If the corporation does not allow a shareholder who complies with subsection (1) of\nKRS 271B.16-020 to inspect and copy any records required by that subsection to be\navailable for inspection, the Circuit Court of the county where the corporation's\nprincipal office (or, if none in this state, its registered office) is located may\nsummarily order inspection and copying of records demanded at the corporation's\nexpense upon application of the shareholder.\n(2) If a corporation does not within a reasonable time allow a shareholder to inspect and\ncopy any other record, the shareholder who complies with subsections (2) and (3) of\nKRS 271B.16 -020 may apply to the Circuit Court of the county where the\ncorporation's principal office (or, if none in this state, its registered office) is located\nfor an order to permit inspection and copying of the records demanded. The court\nshall dispose of an application under this subsection on an expedited basis.\n(3) If the court orders inspection and copying of the records demanded, it shall also\norder the corporation to pay the shareholder's costs (including reasonable counsel\nfees) incurred to obtain the order unless the corporation proves that it refused\ninspection in good faith because it had a reasonable basis for doubt about the  right\nof the shareholder to inspect the records demanded.\n(4) If the court orders inspection and copying of the records demanded, it may impose\nreasonable restrictions on the use or distribution of the records by the demanding\nshareholder.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=13481","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:20Z","sha256":"e41f8144bdae8b920c1213e38b672e8d275345ffaa7f2ad89b2bde7e2df2a0bf","source_id":"us-ky","stale":false,"prev":"us-ky/krs-271b.16-030","next":"us-ky/krs-271b.16-200"},"notice":"GroundRules: Original legal text.
