{"data":{"id":"us-ky/krs-271b.2-070","jurisdiction":"us-ky","citation":"KRS 271B.2-070","heading":"Emergency bylaws.","body":"(1) Unless the articles of incorporation provide otherwise, the board of directors of a\ncorporation may adopt bylaws to be effective only in an emergency defined in\nsubsection (4) of this section. The emergency bylaws, which are subject to\namendment or repeal by the shareholders, may make all provisions necessary for\nmanaging the corporation during the emergency, including:\n(a) Procedures for calling a meeting of the board of directors;\n(b) Quorum requirements for the meeting; and\n(c) Designation of additional or substitute directors.\n(2) All provisions of the regular bylaws consistent with the emergency bylaws remain\neffective during the emergency. The emergency bylaws are not effective after the\nemergency ends.\n(3) Corporate action taken in good faith in accordance with the emergency bylaws:\n(a) Shall bind the corporation; and\n(b) Shall not be used to impose liability on a corporate director, officer, employee,\nor agent.\n(4) An emergency exists for purposes of this section if a quorum of the corporation's\ndirectors cannot readily be assembled because of some catastrophic event.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=13323","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:18Z","sha256":"cb81aee4d5621f0fb7fc80e10c6a628a6c28bffdda7bede25a0be83e677588b8","source_id":"us-ky","stale":false,"prev":"us-ky/krs-271b.2-060","next":"us-ky/krs-271b.3-010"},"notice":"GroundRules: Original legal text.
