{"data":{"id":"us-ky/krs-271b.3-030","jurisdiction":"us-ky","citation":"KRS 271B.3-030","heading":"Emergency powers.","body":"(1) In anticipation of or during an emergency defined in subsection (4) of this section,\nthe board of directors of a corporation may:\n(a) Modify lines of succession to accommodate the incapacity of any director,\nofficer, employee, or agent; and\n(b) Relocate the principal office, designate alternative principal offices or regional\noffices, or authorize the officers to do so.\n(2) During an emergency defined in subsection (4) of this section, unless emergency\nbylaws provide otherwise:\n(a) Notice of a meeting of th e board of directors need be given only to those\ndirectors whom it is practicable to reach and may be given in any practicable\nmanner, including by publication and radio; and\n(b) One (1) or more officers of the corporation present at a meeting of the board\nof directors may be deemed to be directors for the meeting, in order of rank\nand within the same rank in order of seniority, as necessary to achieve a\nquorum.\n(3) Corporate action taken in good faith during an emergency under this section to\nfurther the ordinary business affairs of the corporation:\n(a) Shall bind the corporation; and\n(b) Shall not be used to impose liability on a corporate director, officer, employee,\nor agent.\n(4) An emergency shall exist for purposes of this section if a quorum of the\ncorporation's directors cannot readily be assembled because of some catastrophic\nevent.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=13326","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:18Z","sha256":"eed8c45acb07079172b355d3bcb616bfc81f95c334ba1588263c5db35d6a16b2","source_id":"us-ky","stale":false,"prev":"us-ky/krs-271b.3-020","next":"us-ky/krs-271b.3-040"},"notice":"GroundRules: Original legal text.
