{"data":{"id":"us-ky/krs-271b.6-250","jurisdiction":"us-ky","citation":"KRS 271B.6-250","heading":"Form and content of certificate.","body":"(1) Shares may but need not be represented by certificates. Unless this chapter or\nanother statute expressly provides otherwise, the rights and obligations of\nshareholders shall be identical whether or not their shares are represented by\ncertificates.\n(2) At a minimum each share certificate shall state on its face:\n(a) The name of the issuing corporation and that it is organized under the law of\nthis state;\n(b) The name of the person to whom issued; and\n(c) The number and class of shares and the designation of the series, if any, the\ncertificate represents.\n(3) If the issuing corporation is authorized to issue different classes of shares or\ndifferent series within a class, the designations, relative rights, preferences, and\nlimitations applicable to each class a nd the variations in rights, preferences, and\nlimitations determined for each series (and the authority of the board of directors to\ndetermine variations for future series) shall be summarized on the front or back of\neach certificate. Alternatively, each c ertificate may state conspicuously on its front\nor back that the corporation will furnish the shareholder this information on request\nin writing and without charge.\n(4) Each share certificate:\n(a) Must be signed (either manually or in facsimile) by two (2) officers designated\nin the bylaws or by the board of directors; and\n(b) May bear the corporate seal or its facsimile.\n(5) If the person who signed (either manually or in facsimile) a share certificate no\nlonger holds office when the certificate is issued,  the certificate shall nevertheless\nbe valid.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=13345","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:18Z","sha256":"8ed0d6af010f0439a5b21339cee59336e247bb5090ca69a70d7d580d7c063c3a","source_id":"us-ky","stale":false,"prev":"us-ky/krs-271b.6-240","next":"us-ky/krs-271b.6-260"},"notice":"GroundRules: Original legal text.
