{"data":{"id":"us-ky/krs-271b.7-030","jurisdiction":"us-ky","citation":"KRS 271B.7-030","heading":"Court-ordered meeting.","body":"(1) The Circuit Court for the county where a corporation's principal office (or, if none\nin this state, its registered office) is located may summarily order a meeting to be\nheld:\n(a) On application of any shareholder of the corporation entitled to participate  in\nan annual meeting if an annual meeting was not held within the earlier of six\n(6) months after the end of the corporation's fiscal year or fifteen (15) months\nafter its last annual meeting; or\n(b) On application of a shareholder who signed a demand for  a special meeting\nvalid under KRS 271B.7-020, if:\n1. Notice of the special meeting was not given within thirty (30) days after\nthe date the demand was delivered to the corporation's secretary; or\n2. The special meeting was not held in accordance with the notice.\n(2) The court may fix the time and place of the meeting, determine the shares entitled to\nparticipate in the meeting, specify a record date for determining shareholders\nentitled to notice of and to vote at the meeting, prescribe the form and content of the\nmeeting notice, fix the quorum required for specific matters to be considered at the\nmeeting (or direct that the votes represented at the meeting constitute a quorum for\naction on those matters), and enter other orders necessary to accomplish the purpose\nor purposes of the meeting.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=13354","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:18Z","sha256":"12fa437343d8ea800bc2c1f6fe651d58a544c602709a5b99d1d2c0367284fa34","source_id":"us-ky","stale":false,"prev":"us-ky/krs-271b.7-020","next":"us-ky/krs-271b.7-040"},"notice":"GroundRules: Original legal text.
