{"data":{"id":"us-ky/krs-271b.7-050","jurisdiction":"us-ky","citation":"KRS 271B.7-050","heading":"Notice of meeting.","body":"(1) A corporation shall notify shareholders of the date, time, and place of each annual\nand special shareholders' meeting no fewer than ten (10) nor more than sixty (60)\ndays before the meeting date. Unless this chapter or the articles of incorporation\nrequire otherwise, the corporation shall be required to give notice only to\nshareholders entitled to vote at the meeting.\n(2) Unless this chapter or the articles of incorporation require otherwise, notice of an\nannual meeting shall not be required to include a de scription of the purpose or\npurposes for which the meeting is called.\n(3) Notice of a special meeting shall include a description of the purpose or purposes\nfor which the meeting is called.\n(4) If not otherwise fixed under KRS 271B.7 -030 or 271B.7 -070, the record date for\ndetermining shareholders entitled to notice of and to vote at an annual or special\nshareholders' meeting shall be the day before the first notice is delivered to\nshareholders.\n(5) Unless the bylaws require otherwise, if an annual or special shareholders' meeting is\nadjourned to a different date, time, or place, notice shall not be required to be given\nof the new date, time, or place if the new date, time, or place is announced at the\nmeeting before adjournment.
