{"data":{"id":"us-ky/krs-271b.7-070","jurisdiction":"us-ky","citation":"KRS 271B.7-070","heading":"Record date.","body":"(1) The bylaws may fix or provide the manner of fixing the record date for one (1) or\nmore voting groups in order to determine the shareholders entitled to notice of a\nshareholders' meeting, to demand a special meeting, to vote, or to take any other\naction. If the bylaws do not fix or provide for fixing a record date, the board of\ndirectors of the corporation may fix a future date as the record date.\n(2) A record date fixed under this section shall not be more than seventy (70) days\nbefore the meeting or action requiring a determination of shareholders.\n(3) A determination of shareholders entitled to notice of or to vote at a shareholders'\nmeeting shall be effective for any adjournment of the meeting unless the board of\ndirectors fixes a new record date, which i t shall do if the meeting is adjourned to a\ndate more than one hundred twenty (120) days after the date fixed for the original\nmeeting.\n(4) If a court orders a meeting adjourned to a date more than one hundred twenty (120)\ndays after the date fixed for the  original meeting, it may provide that the original\nrecord date continues in effect or it may fix a new record date.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=13358","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:18Z","sha256":"6f4387fe7ac45b12e9ba3d731ff424deb4a1ccf3a19b195849ad35332b4bd6fd","source_id":"us-ky","stale":false,"prev":"us-ky/krs-271b.7-060","next":"us-ky/krs-271b.7-080"},"notice":"GroundRules: Original legal text.
