{"data":{"id":"us-ky/krs-271b.7-280","jurisdiction":"us-ky","citation":"KRS 271B.7-280","heading":"Voting for directors -- Cumulative voting.","body":"(1) Unless otherwise provided in the articles of incorporation, directors are elected by a\nplurality of votes cast by the shares entitled to vote in the election at a meeting at\nwhich a quorum is present. A \"plurality\" means that the individuals with the large st\nnumber of votes are elected as directors up to the maximum number of directors to\nbe chosen at the election.\n(2) Shareholders do not have the right to cumulate their votes for directors unless the\narticles of incorporation so provide.\n(3) A statement included in the articles of incorporation that \"all, or a designated group\nof, shareholders are entitled to cumulate their votes for directors,\" or words of\nsimilar import, means that the shareholders designated are entitled to multiply the\nnumber of votes t hey are entitled to cast by the number of directors for whom they\nare entitled to vote and cast the product for a single candidate or distribute the\nproduct among two (2) or more candidates.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=13368","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:18Z","sha256":"d1871b2f3f35004b93a954ab4ff2d2aa65655aafb1d4dd4d9f6a950c035ad09c","source_id":"us-ky","stale":false,"prev":"us-ky/krs-271b.7-270","next":"us-ky/krs-271b.7-300"},"notice":"GroundRules: Original legal text.
