{"data":{"id":"us-ky/krs-271b.8-560","jurisdiction":"us-ky","citation":"KRS 271B.8-560","heading":"Indemnification of officers, employees, and agents.","body":"Unless a corporation's articles of incorporation provide otherwise:\n(1) An officer of the corporation who is not a director shall be entitled to mandatory\nindemnification under KRS 271B.8 -520, and is entitled to apply for court -ordered\nindemnification unde r KRS 271B.8 -540, in each case to the same extent as a\ndirector;\n(2) The corporation may indemnify and advance expenses under KRS 271B.8 -500 to\n271B.8-580 to an officer, employee, or agent of the corporation who is not a\ndirector to the same extent as to a director; and\n(3) A corporation may also indemnify and advance expenses to an officer, employee, or\nagent who is not a director to the extent, consistent with public policy, that may be\nprovided by its articles of incorporation, bylaws, general or specifi c action of its\nboard of directors, or contract.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=13404","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:19Z","sha256":"78a3c4e1e82ffdeec6e1fecf6dcc6791987a9ab87646f442388b52d27e675acb","source_id":"us-ky","stale":false,"prev":"us-ky/krs-271b.8-550","next":"us-ky/krs-271b.8-570"},"notice":"GroundRules: Original legal text.
