{"data":{"id":"us-ky/krs-272.141","jurisdiction":"us-ky","citation":"KRS 272.141","heading":"Amendments to articles, how made -- Contents -- Filing.","body":"(1) Amendments to the articles of incorporation shall be made in the following manner:\nThe board shall by an affirmative vote of not less than two -thirds (2/3) of its\nmembers, present and voting at any regular or special meeting, adopt a resolution\napproving the proposed amendment and directing that the proposed amendment be\nsubmitted to a vote of the association members at any annual or special meeting\nduly called. Written or printed notice setting forth the proposed amendment, or a\nsummary of the changes to b e effected thereby, shall be given to each member of\nthe association entitled to vote at any such meeting, within the time and in the\nmanner provided in KRS 272.161. The proposed amendment, or amendments, shall\nbe adopted by the affirmative vote of not less than a majority of the votes entitled to\nbe cast by the members present in person, or by proxy (if permitted by the bylaws),\nand voting at any such meeting.\n(2) Notwithstanding the provisions of subsection (1) of this section, an amendment\nwhose only effect is to extend an association's period of duration may be adopted by\nthe affirmative vote of not less than two -thirds (2/3) of the directors present and\nvoting at any duly called board meeting, and shall become effective when signed\nand acknowledged by the chairman, or other presiding officer, of the board and filed\nand recorded pursuant to KRS 272.131.\n(3) The articles of amendment shall set forth:\n(a) The name of the association;\n(b) The amendment adopted;\n(c) A statement setting forth the date of the m eeting of the board at which the\namendment or amendments were approved; that the meeting was duly called\nand that a quorum was present; and that a resolution approving the proposed\namendment, or amendments, received an affirmative vote of not less than two-\nthirds (2/3) of the members of the board present and voting at such meeting;\n(d) A statement setting forth the date of the meeting of the members of the\nassociation at which the amendment was adopted; that the meeting was duly\ncalled and that a quorum was  present; and that such amendment received an\naffirmative vote of not less than a majority of the votes entitled to be cast by\nmembers present in person, or by proxy (if permitted by the bylaws), and\nvoting at such meeting.\n(4) For the recording of article s of incorporation or amendments thereto by the\nSecretary of State and county clerk, and for the issuance of a certificate of\nincorporation or certificate of amendment by the Secretary of State, an association\nshall pay the same fees as are provided for su ch services in the statutes relating to\ncorporations generally.\n(5) A copy of the articles of amendment indorsed by the Secretary of State with the fact\nand time of recording in his office, shall be filed with the dean of the College of\nAgriculture of the University of Kentucky, and with the Commissioner of the\nDepartment of Agriculture.","path":["KRS Chapter 272"],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=13516","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:20Z","sha256":"d91010838a5533de8c7573eac1f5871c19930141ee4e7c6de7c3885347b635bd","source_id":"us-ky","stale":false,"prev":"us-ky/krs-272.140","next":"us-ky/krs-272.145"},"notice":"GroundRules: Original legal text.
