{"data":{"id":"us-ky/krs-272a.12-030","jurisdiction":"us-ky","citation":"KRS 272A.12-030","heading":"Judicial dissolution.","body":"(1) The appropriate court may dissolve a limited cooperative association or order any\naction that under the circumstances is appropriate and equitable:\n(a) In a proceeding initiated by the Attorney General, if:\n1. The association obtained its articles of association through fraud; or\n2. The association has continued to exceed or abuse the authority conferred\nupon it by law; or\n(b) In a proceeding initiated by a member if:\n1. The directors are deadlocked in the management of the association's\naffairs, the member s are unable to break the deadlock, and irreparable\ninjury to the association is occurring or is threatened because of the\ndeadlock;\n2. The directors or those in control of the association have acted, are\nacting, or will act in a manner that is illegal, oppressive, or fraudulent;\n3. The members are deadlocked in voting power and have failed to elect\nsuccessors to directors whose terms have expired for two (2) consecutive\nperiods during which annual members meetings were held or were to be\nheld; or\n4. The assets of the association are being misapplied or wasted.\n(2) The clerk of the court shall deliver a certified copy of the decree of dissolution to\nthe Secretary of State, who shall file it. The dissolution shall be effective upon the\nlatter of the date spec ified by the court or the filing of the decree of dissolution by\nthe Secretary of State.\n(3) After entering the decree of dissolution, the appropriate court shall direct the\nwinding up and liquidation of the business and affairs of the limited cooperative\nassociation and the notification of claimants in accordance with this chapter.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=41066","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:22Z","sha256":"0fbf1bf043f7d770796b4da9299738620a256b2abe451cca8a54b079db08a3b4","source_id":"us-ky","stale":false,"prev":"us-ky/krs-272a.12-020","next":"us-ky/krs-272a.12-040"},"notice":"GroundRules: Original legal text.
