{"data":{"id":"us-ky/krs-272a.16-070","jurisdiction":"us-ky","citation":"KRS 272A.16-070","heading":"Articles of merger -- Effective date.","body":"(1) After each constituent entity has approved a merger, articles of merger shall be\nsigned on behalf of each constituent entity by an authorized representative.\n(2) The articles of merger shall include:\n(a) The name and form of each constituent entity and the  jurisdiction of its\ngoverning statute;\n(b) The name and form of the surviving entity, the jurisdiction of its governing\nstatute, and, if the surviving entity is created by the merger, a statement to that\neffect;\n(c) The date the merger is effective under the governing statute of the surviving\nentity;\n(d) If the surviving entity is to be created by the merger, the limited cooperative\nassociation's articles of association;\n(e) If the surviving entity is not created by the merger, any amendments provided\nfor in the plan of merger to its articles of association;\n(f) A statement as to each constituent entity that the merger was approved as\nrequired by the entity's governing statute; and\n(g) Any additional information required by the governing statute of any\nconstituent entity.\n(3) The limited cooperative association that is the surviving entity to a merger shall\ndeliver the articles of merger to the Secretary of State for filing.\n(4) A merger becomes effective upon the articles of merger being effective as provid ed\nin KRS 14A.2-070.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=41092","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:23Z","sha256":"b0cfcda0266ae60b3a23db13fcfe28a8f17b14a784965f31941a309e39c57cfe","source_id":"us-ky","stale":false,"prev":"us-ky/krs-272a.16-060","next":"us-ky/krs-272a.16-080"},"notice":"GroundRules: Original legal text.
