{"data":{"id":"us-ky/krs-272a.16-080","jurisdiction":"us-ky","citation":"KRS 272A.16-080","heading":"Effect of merger.","body":"When a merger becomes effective:\n(1) The surviving entity continues or comes into existence;\n(2) Each constituent entity that merges into the surviving entity ceases to exist as a\nseparate entity;\n(3) All property owned by each constituent entity that ceases to exist vests in the\nsurviving entity;\n(4) All debts, liabilities, and other obligations of each constituent entity that ceases to\nexist continue as obligations of the surviving entity;\n(5) An action or proceeding pending by or against any constituent entity that ceases to\nexist may be continued as if the merger had not occurred;\n(6) Except as prohibited by law other than this chapter, all rights, privileges,\nimmunities, powers, and purposes of each constituent entity that ceases to exist vest\nin the surviving entity;\n(7) Except as otherwise provided in the plan of merger, the terms and conditions of the\nplan take effect;\n(8) Except as otherwise provided in the plan of merger, if a merging limited\ncooperative association ceases to exist, the merger does not dissolve the association\nfor purposes of Subchapter 12 of this chapter;\n(9) If the surviving entity is created by the merger, the articles of association become\neffective; and\n(10) If the surviving entity is not created by the merger, any amendments made by the\narticles of merger for the organic rules of the surviving entity become effective.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=41093","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:23Z","sha256":"c291ab8344dd47b4adff5c4a0383f94eacab70461244cf5bec6867bee44cacba","source_id":"us-ky","stale":false,"prev":"us-ky/krs-272a.16-070","next":"us-ky/krs-272a.16-090"},"notice":"GroundRules: Original legal text.
