{"data":{"id":"us-ky/krs-272a.5-060","jurisdiction":"us-ky","citation":"KRS 272A.5-060","heading":"Special meeting of members.","body":"(1) A special meeting of members may be called only:\n(a) As provided in the organic rules;\n(b) By a majority vote of the board of directors on a proposal stating the purpose\nof the meeting;\n(c) By demand in a record signed by members holding at least twenty pe rcent\n(20%) of the voting power of the persons in any district or class entitled to\nvote on the matter that is the purpose of the meeting stated in the demand; or\n(d) By demand in a record signed by members holding at least ten percent (10%)\nof the total voting power of all the persons entitled to vote on the matter that is\nthe purpose of the meeting stated in the demand.\n(2) A demand under subsection (1)(c) or (d) of this section shall be submitted to the\nofficer of the limited cooperative association charged with keeping its records.\n(3) Any voting member may withdraw its demand under subsection (1)(c) or (d) of this\nsection before receipt by the limited cooperative association of demands sufficient\nto require a special meeting of members.\n(4) A special me eting of members may be held inside or outside this state at the place\nstated in the organic rules or selected by the board of directors not inconsistent with\nthe organic rules.\n(5) Unless the organic rules otherwise provide, members may attend or conduct a\nspecial meeting of members through the use of any means of communication if all\nmembers attending the meeting can communicate with each other during the\nmeeting.\n(6) Only business within the purpose or purposes stated in the notice of a special\nmeeting of members may be conducted at the meeting.\n(7) Unless the organic rules otherwise provide, the presiding officer of a special\nmeeting of members shall be designated by the board of directors.","path":[],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=41011","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:22Z","sha256":"0c13ddfaaae0c3c509a503e0c621f2f43977efa4ed89b9f7f85e11bbda33d951","source_id":"us-ky","stale":false,"prev":"us-ky/krs-272a.5-050","next":"us-ky/krs-272a.5-070"},"notice":"GroundRules: Original legal text.
