{"data":{"id":"us-ky/krs-273.161","jurisdiction":"us-ky","citation":"KRS 273.161","heading":"Definitions for KRS 273.161 to 273.390.","body":"As used in KRS 273.161 to 273.390, unless the context otherwise requires:\n(1) \"Corporation\" or \"domestic corporation\" means a nonprofit corporation subject to\nthe provisions of KRS 273.161 to 273.390, except a foreign corporation, and for the\npurposes of K RS 273.277 to 273.293, the term \"corporation\" also means domestic\nnonprofit limited liability companies;\n(2) \"Disaster\" means any natural, technological, or civil emergency that causes damage\nof sufficient severity and magnitude to result in a declaration of a state of\nemergency by a county, the Governor, or the President of the United States;\n(3) \"Foreign corporation\" means a nonprofit corporation organized under laws other\nthan the laws of this state;\n(4) \"Nonprofit corporation\" means a corporation no par t of the income or profit of\nwhich is distributable to its members, directors or officers;\n(5) \"Articles of incorporation\" means the original or restated articles of incorporation or\narticles of consolidation and all amendments thereto, including articles of merger;\n(6) \"Bylaws\" means the code or codes of rules adopted for the regulation or\nmanagement of the affairs of the corporation irrespective of the name or names by\nwhich such rules are designated;\n(7) \"Member\" means one having membership rights in a corporation in accordance with\nthe provisions of its articles of incorporation or bylaws;\n(8) \"Board of directors\" means the group of persons vested with the management of the\naffairs of the corporation irrespective of the name by which group is designated;\n(9) \"Insolvent\" means inability of a corporation to pay its debts as they become due in\nthe usual course of its affairs;\n(10) \"Principal office\" means the office, in or out of this state, so designated in the\nannual report where the principal executive of fices of a domestic or foreign\ncorporation are located;\n(11) \"Secretary\" means the corporate officer to whom the board of directors has\ndelegated responsibility for custody of the minutes of the meetings of the board of\ndirectors and the members and for authenticating records of the corporation;\n(12) \"Individual\" includes the estate of an incompetent or deceased individual;\n(13) \"Entity\" includes a domestic or foreign corporation; not -for-profit corporation;\nprofit and not -for-profit unincorporated associat ion; business or statutory trust,\nestate, partnership, limited partnership, limited liability company, trust, and two (2)\nor more persons having a joint or common economic interest; and state, United\nStates, and foreign government;\n(14) \"Person\" includes individual and entity.\n(15) \"Name of record with the Secretary of State\" means any real, fictitious, reserved,\nregistered, or assumed name of an entity;\n(16) \"Real name\" shall have the meaning set forth in KRS 365.015;\n(17) \"Deliver\" or \" delivery\" means any method of delivery used in conventional\ncommercial practice, including delivery by hand, mail, commercial delivery, and\nelectronic transmission;\n(18) \"Effective date of notice\" means notice when effective under KRS 273.162(3);\n(19) \"Electronic transmission\" or \"electronically transmitted\" means any process of\ncommunication not directly involving the physical transfer of paper that is suitable\nfor the retention, retrieval, and reproduction of information by the recipient;\n(20) \"Notice\" means notice as described in KRS 273.162;\n(21) \"Sign\" or \"signature\" includes any manual, facsimile, or conformed or electronic\nsignature; and\n(22) \"Limited liability company\" or \"LLC\" means a domestic nonprofit limited liability\ncompany.","path":["KRS Chapter 273"],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=49017","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:23Z","sha256":"39727d4293e11ceac744b904f6dc0e916e8a8f739601334082f4169248475ee4","source_id":"us-ky","stale":false,"prev":"us-ky/krs-273.160","next":"us-ky/krs-273.162"},"notice":"GroundRules: Original legal text.
