{"data":{"id":"us-ky/krs-273.201","jurisdiction":"us-ky","citation":"KRS 273.201","heading":"Voting.","body":"(1) The right of the members, or any class or classes of members, to vote may be\nlimited, enlarged or denied to the extent specified in the articles of incorporation or\nthe bylaws. Unless so limited, enlarged or denied, each member, regardless of class,\nshall be entitled to one (1) vote on each matter submitted to a vote of members.\n(2) A member entitled to vote may vote in person or, unless the articles of\nincorporation or the bylaws otherwise provide, may vote by proxy executed in\nwriting by the member or by his duly authorized attorney-in-fact. No proxy shall be\nvalid after eleven (11) months from the date of its execution, unless otherwise\nprovided in the proxy. Where directors or officers are to be elected by members, the\nbylaws may provide that such elections may be conducted by mail.\n(3) The articles of incorporation or the bylaws may provide that in all elections for\ndirectors every member entitled to vote shall have the right to cumulate his vote and\nto give one (1) candidate a number of votes equal to  his vote multiplied by the\nnumber of directors to be elected, or by distributing such votes on the same\nprinciple among any number of such candidates.\n(4) If a corporation has no members or its members have no right to vote, the directors\nshall have the sole voting power.","path":["KRS Chapter 273"],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=13627","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:23Z","sha256":"e9b087d51578bd0ff92a63299fac2cd7b5c8088128312b02efcf9e3a6e517c0e","source_id":"us-ky","stale":false,"prev":"us-ky/krs-273.200","next":"us-ky/krs-273.203"},"notice":"GroundRules: Original legal text.
