{"data":{"id":"us-ky/krs-273.211","jurisdiction":"us-ky","citation":"KRS 273.211","heading":"Number and election or appointment of directors -- Classes -- Terms --","body":"Removal.\n(1) (a) The board of directors shall consist of three (3) or more individuals, with the\nnumber specified in or fixed in accordance with the articles of incorporat ion\nor bylaws, except as to the number of the first board of directors which shall\nbe fixed by the articles of incorporation.\n(b) The articles of incorporation or bylaws may establish a minimum and\nmaximum number of directors. If a variable range is establ ished, the number\nof directors may be fixed or changed by the board of directors, within the\nminimum and maximum, in the manner provided in the articles of\nincorporation or the bylaws.\n(c) No decrease in number shall have the effect of shortening the term of any\nincumbent director.\n(2) The directors constituting the first board of directors shall be named in the articles\nof incorporation and shall hold office until the first annual election of directors or\nfor such other period as may be specified in the a rticles of incorporation or the\nbylaws. Thereafter, directors shall be elected or appointed in the manner and for the\nterms provided in the articles of incorporation or the bylaws. In the absence of a\nprovision fixing the term of office, the term of office  of a director shall be one (1)\nyear, and until his successor is elected and has accepted his election.\n(3) Directors may be divided into classes and the terms of office of the several classes\nneed not be uniform. Each director shall hold office for the t erm for which he is\nelected or appointed and until his successor shall have been elected or appointed\nand qualified.\n(4) A director may be removed from office pursuant to any removal procedure provided\nin the articles of incorporation or bylaws.\n(5) Every director of a corporation, by acceptance of election or appointment as a\ndirector, including by service, shall be deemed to have consented to the jurisdiction\nof the courts of the Commonwealth of Kentucky for any action by, in the name of,\nor on behalf of the corporation.","path":["KRS Chapter 273"],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=48301","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:23Z","sha256":"01af0b58db6886d09962dda149bb40e83d91ae167cc20d6c305e73edb2b3c979","source_id":"us-ky","stale":false,"prev":"us-ky/krs-273.210","next":"us-ky/krs-273.213"},"notice":"GroundRules: Original legal text.
