{"data":{"id":"us-ky/krs-273.227","jurisdiction":"us-ky","citation":"KRS 273.227","heading":"Officers.","body":"(1) A corporation shall have the officers described in its bylaws or appointed by the\nboard of directors in accordance with the bylaws.\n(2) A duly appointed officer may appoint one (1) or more officers or assistant officers if\nauthorized by the bylaws or the board of directors.\n(3) The bylaws or the board of directors shall delegate to one (1) of the officers\nresponsibility for preparing minutes of the directors' and members' meetings and for\nauthenticating records of the corporation.\n(4) The same individual ma y simultaneously hold more than one (1) office in a\ncorporation.\n(5) Each officer shall be elected or appointed at such time and in such manner and for\nsuch terms not exceeding three (3) years as may be prescribed in the articles of\nincorporation or the by laws. In the absence of any such provision, all officers shall\nbe elected or appointed annually by the board of directors.\n(6) The articles of incorporation or the bylaws may provide that any one (1) or more\nofficers of the corporation shall be ex officio members of the board of directors.\n(7) Every officer of a corporation, by acceptance of election or appointment as an\nofficer, including by service, shall be deemed to have consented to the jurisdiction\nof the courts of the Commonwealth of Kentucky for any  action by, in the name of,\nor on behalf of the corporation.","path":["KRS Chapter 273"],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=44364","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:24Z","sha256":"ba369ddce8dd132e0ba1be88dbb0ec8e9462c53fbadd35f8db9ad988757a3bff","source_id":"us-ky","stale":false,"prev":"us-ky/krs-273.223","next":"us-ky/krs-273.228"},"notice":"GroundRules: Original legal text.
