{"data":{"id":"us-ky/krs-273.267","jurisdiction":"us-ky","citation":"KRS 273.267","heading":"Articles of amendment.","body":"A corporation amending its articles of incorporation shall deliver to the Secretary of State\nfor filing articles of amendment that satisfy KRS 14A.2-010 to 14A.2-150 setting forth:\n(1) The name of the corporation.\n(2) The amendment so adopted.\n(3) If there are members entitled to vote thereon, (a) a statement setting forth the date of\nthe meeting of members at which the amendment was adopted, that a quorum was\npresent at such meeting, and that such amendment received at least two -thirds (2/3)\nof the votes w hich members present at such meeting or represented by proxy were\nentitled to cast, or (b) a statement that such amendment was adopted by a consent in\nwriting signed by all members entitled to vote with respect thereto.\n(4) If there are no members, or no members entitled to vote thereon, a statement of such\nfact, the date of the meeting of the board of directors at which the amendment was\nadopted, and a statement of the fact that such amendment received the vote of a\nmajority of the directors in office.","path":["KRS Chapter 273"],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=36679","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:24Z","sha256":"8a8cb332cf89cd0cea7ab8a1f4f7b3e86f744cd2cc7c3205329e7bd805617c69","source_id":"us-ky","stale":false,"prev":"us-ky/krs-273.263","next":"us-ky/krs-273.270"},"notice":"GroundRules: Original legal text.
