{"data":{"id":"us-ky/krs-273.287","jurisdiction":"us-ky","citation":"KRS 273.287","heading":"Articles of merger or consolidation.","body":"Upon such approval, articles of merger or articles of consolidation shall be delivered to\nthe Secretary of State for filing and shall set forth:\n(1) The plan of merger or the plan of consolidation;\n(2) If the members of any merging or consolidating corpora tion are entitled to vote\nthereon, then as to each such corporation:\n(a) A statement setting forth the date of the meeting of members at which the plan\nwas adopted, that a quorum was present at such meeting, and that such plan\nreceived at least two -thirds (2/3) of the votes which members present at such\nmeeting or represented by proxy were entitled to cast; or\n(b) A statement that such amendment was adopted by a consent in writing signed\nby all members entitled to vote with respect thereto; and\n(c) If any merging or consolidating corporation has no members, or no members\nentitled to vote thereon, then as to each such corporation a statement of such\nfact, the date of the meeting of the board of directors at which the plan was\nadopted and a statement of the fa ct that such plan received the vote of a\nmajority of the directors in office.","path":["KRS Chapter 273"],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=13676","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:24Z","sha256":"4fbf0661b15e9f5d3dc4195b93d7e57fae9489c0aecafcf2ed428fb598e17149","source_id":"us-ky","stale":false,"prev":"us-ky/krs-273.283","next":"us-ky/krs-273.290"},"notice":"GroundRules: Original legal text.
