{"data":{"id":"us-ky/krs-273.293","jurisdiction":"us-ky","citation":"KRS 273.293","heading":"Merger or consolidation of domestic and foreign corporations and limited","body":"liability companies.\n(1) One (1) or more domestic corporations, a domestic corporation and a domestic\nlimited liability company, and one (1) or more foreign corporations o f the type that\nmay be organized under KRS 273.161 to 273.390 or KRS Chapter 275 may be\nmerged into one (1) of such domestic corporations, or consolidated into a new\ncorporation to be formed under KRS 273.161 to 273.390, provided that the foreign\ncorporation or corporations are authorized by the laws of the government under\nwhich they were formed to effect such merger or consolidation. Each domestic\ncorporation or limited liability company shall comply with the provisions of KRS\n273.161 to 273.390 with respect to the merger or consolidation, as the case may be,\nof domestic corporations, limited liability companies and each foreign corporation\nshall comply with the applicable provisions of the laws of the state under which it is\norganized and of this state.\n(2) After approval by the members, or if there be no members entitled to vote thereon,\nby the board of directors, and at any time prior to the filing of the articles of merger\nor consolidation, the merger or consolidation may be abandoned pursuant to\nprovisions therefor, if any, set forth in the plan of merger or consolidation.","path":["KRS Chapter 273"],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=49019","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:24Z","sha256":"a05271b8aa7a25d54bf326aab3322a2b09c1ced865cc7187730fe4e07ab35a99","source_id":"us-ky","stale":false,"prev":"us-ky/krs-273.291","next":"us-ky/krs-273.297"},"notice":"GroundRules: Original legal text.
