{"data":{"id":"us-ky/krs-273.310","jurisdiction":"us-ky","citation":"KRS 273.310","heading":"Revocation of voluntary dissolution proceedings.","body":"A corporation may, at any time prior to the filing of articles of dissolution with the\nSecretary of State, revoke the action theretofore taken to dissolve the corporation, in the\nfollowing manner:\n(1) If there are members entitled to vote thereon, the boar d of directors shall adopt a\nresolution recommending that the voluntary dissolution proceedings be revoked,\nand directing that the question of such revocation be submitted to a vote at a\nmeeting of members entitled to vote thereon, which may be either an a nnual or a\nspecial meeting. Written notice stating that the purpose, or one (1) of the purposes,\nof such meeting is to consider the advisability of revoking the voluntary dissolution\nproceedings, shall be given to each member entitled to vote at such meeti ng, within\nthe time and in the manner provided in KRS 273.161 to 273.390 for the giving of\nnotice of meetings of members. A resolution to revoke the voluntary dissolution\nproceedings shall be adopted upon receiving at least two -thirds (2/3) of the votes\nwhich members present at such meeting or represented by proxy are entitled to cast.\n(2) If there are no members, or no members entitled to vote thereon, a resolution to\nrevoke the voluntary dissolution proceedings shall be adopted at a meeting of the\nboard of directors upon receiving the vote of a majority of the directors in office.\n(3) Upon the adoption of such resolution by the members, or by the board of directors\nwhere there are no members or no members entitled to vote thereon, the corporation\nmay thereupon again conduct its affairs.","path":["KRS Chapter 273"],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=13684","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:24Z","sha256":"032a9b888246ab632d67d01f74af388f1b4e2b7839de8bb6e2a76a10271326af","source_id":"us-ky","stale":false,"prev":"us-ky/krs-273.307","next":"us-ky/krs-273.313"},"notice":"GroundRules: Original legal text.
