{"data":{"id":"us-ky/krs-273.375","jurisdiction":"us-ky","citation":"KRS 273.375","heading":"Director action without meeting.","body":"(1) Unless the articles of incorporation or bylaws provide otherwise, action required or\npermitted by KRS 273.161 to 273.390 to be taken at a board of directors meeting\nmay be taken without a meeting if the action is taken by all members of the board.\nThe action shall be evidenced by one (1) or more written consents describing the\naction taken, signed by each director, and included in the minutes or filed with the\ncorporate records reflecting the action taken.\n(2) Action taken under this section shall be effect ive when the last director signs the\nconsent, unless the consent specifies a different effective date.\n(3) A consent signed under this section shall have the effect of a meeting vote and may\nbe described as such in any document.","path":["KRS Chapter 273"],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=44380","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:25Z","sha256":"482116da4154eb6675178cdc7dbb53af11765dbf70a10b4223df11b96ad949b9","source_id":"us-ky","stale":false,"prev":"us-ky/krs-273.373","next":"us-ky/krs-273.377"},"notice":"GroundRules: Original legal text.
