{"data":{"id":"us-ky/krs-273.377","jurisdiction":"us-ky","citation":"KRS 273.377","heading":"Member action without meeting.","body":"(1) Any action required by KRS 273.161 to 273.390 to be taken at a meeting of the\nmembers of a corporation, or any action which may be taken at a meeting of the\nmembers, may be taken without a meeting if a consent in writing, setting forth the\naction so taken,  shall be signed by all of the members entitled to vote with respect\nto the subject matter thereof.\n(2) The action taken under this section shall be evidenced by one (1) or more written\nconsents describing the action taken, signed by the members taking the  action, and\ndelivered to the corporation for inclusion in the minutes or filing with the corporate\nrecords.\n(3) Action taken under this section shall be effective when consents representing the\nvotes necessary to take the action under this section are delivered to the corporation,\nor upon delivery of the consents representing the necessary votes, as of a different\ndate if specified in the consent.\n(4) Any member giving a consent may revoke the consent by a writing received by the\ncorporation prior to the t ime that consents representing the votes required to take\nthe action under this section have been delivered to the corporation but may not do\nso thereafter.\n(5) A consent signed under this section shall have the effect of a meeting vote and may\nbe described as such in any document.","path":["KRS Chapter 273"],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=44388","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:25Z","sha256":"e08d3ca97d548a159b170bf386faed210517650d67ac7b7d5ac496237a89923f","source_id":"us-ky","stale":false,"prev":"us-ky/krs-273.375","next":"us-ky/krs-273.380"},"notice":"GroundRules: Original legal text.
