{"data":{"id":"us-ky/krs-273.382","jurisdiction":"us-ky","citation":"KRS 273.382","heading":"Conversion of Chapter 271B corporation to corporation governed by KRS","body":"273.161 to 273.387.\n(1) A corporation organized under KRS Chapter 271B or its predecessors may convert\nto a corporation organized under and governed by KRS 273.161 to 273.387 as\nauthorized by KRS 271B.10-010.\n(2) A corporation that has been converted under KRS 271B.10 -010 shall be for all\npurposes the same entity that existed before the conversion.\n(3) Upon the filing of amended and restated articles of incorporation satisfying the\nrequirements of KRS 271B.10-010:\n(a) All property and contract rights owned by, and all rights, privileges, and\nimmunities of, the converting corporation shall remain vested in the converted\ncorporation without assignment, reversion, or impairment;\n(b) All obligations of the converting corporation shall continue as obligations of\nthe converted corporation;\n(c) An action or proceeding pending against the converting corporation may be\ncontinued as if the conversion had not taken place, and the name of the\nconverted corporation may be substituted in any pending action or proceeding\nin the name of the converting corporation; and\n(d) The corporation shall be a nonstock, nonprofit corporation governed by and\nsubject to all of the limitations and requirements impose d by KRS 273.161 to\n273.387.\n(4) Nothing in this section shall authorize the conversion of a corporation organized\nunder this chapter to a corporation organized under KRS Chapter 271B.","path":["KRS Chapter 273"],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=13726","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:25Z","sha256":"a3005d03e9a7349cacb511bf5be952b567587435e14d4bea80b7d6c930dbc54c","source_id":"us-ky","stale":false,"prev":"us-ky/krs-273.380","next":"us-ky/krs-273.383"},"notice":"GroundRules: Original legal text.
