{"data":{"id":"us-ky/krs-273a.005","jurisdiction":"us-ky","citation":"KRS 273A.005","heading":"Definitions for chapter.","body":"As used in this chapter:\n(1) \"Appropriate court\" means the Circuit Court of the county of the Commonwealth in\nwhich the unincorporated nonprofit association's principal office is located or, if\nnone, the county in which the registered office is or was last maintained;\n(2) \"Established practices\" means the practices used by an unincorporated nonprofit\nassociation without material change during the most recent five (5) years of its\nexistence or, if it has existed for less than five (5) years, during its entire existence;\n(3) \"Governing principles\" means the agreements, whether oral, in a record, or implied\nfrom its established practices, that govern the purpose or operation of an\nunincorporated nonprofit association and the rights and obligations of its members\nand manager. The term inclu des any amendment or restatement of the agreements\nconstituting the governing principles;\n(4) \"Manager\" means a person that is responsible, whether alone or in concert with\nothers, for the management of an unincorporated nonprofit association;\n(5) \"Member\" means a person that, under the governing principles, may participate in\nthe selection of persons authorized to manage the affairs of the unincorporated\nnonprofit association or in the development of the policies and activities of the\nassociation;\n(6) \"Nonprofit purpose\" means any one (1) or more of the following purposes:\ncharitable, benevolent, eleemosynary, educational, civic, patriotic, political,\ngovernmental, religious, social, recreational, fraternal, literary, cultural, athletic,\nscientific, agricul tural, horticultural, animal husbandry, and professional,\ncommercial, industrial, or trade association, but shall not include labor unions,\ncooperative organizations, and organizations subject to any of the provisions of the\ninsurance laws or banking laws of this state which may not be organized under this\nchapter;\n(7) \"Person\" means an individual, corporation, business or statutory trust, estate,\ndonative trust, partnership, limited partnership, limited liability company,\ncooperative, association, limited cooperative association, joint venture, public\ncorporation, government or governmental subdivision, agency, instrumentality, or\nany other legal or commercial entity;\n(8) \"Record\" means information that is inscribed on a tangible medium or that is stored\nin an electronic or other medium and is retrievable in perceivable form;\n(9) \"State\" means a state of the United States, the District of Columbia, Puerto Rico,\nthe United States Virgin Islands, or any territory or insular possession subject to the\njurisdiction of the United States;\n(10) \"Statement of authority\" means a statement authorizing a person to transfer an\ninterest in real property held in the name of an unincorporated nonprofit association;\nand\n(11) \"Unincorporated nonprofit association\" means an uni ncorporated organization\nconsisting of two (2) or more members joined under an agreement that is oral, in a\nrecord, or implied from conduct, for one (1) or more common, nonprofit purposes.\nThe term does not include:\n(a) A trust;\n(b) A marriage, domestic partnership, common law domestic relationship, civil\nunion, or other domestic living arrangement;\n(c) An organization formed under any other statute that governs the organization\nand operation of any person;\n(d) A joint tenancy, tenanc y in common, or tenancy by the entireties even if the\nco-owners share use of the property for a nonprofit purpose; or\n(e) A relationship under an agreement in a record that expressly provides that the\nrelationship between the parties does not create an uni ncorporated nonprofit\nassociation.","path":["KRS Chapter 273A"],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=44325","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:25Z","sha256":"ec688e600d8d2b745c358dbcb734b2739ff56fe8cc2bdbb19d9d1ff2df977c58","source_id":"us-ky","stale":false,"prev":"us-ky/krs-273.991","next":"us-ky/krs-273a.010"},"notice":"GroundRules: Original legal text.
