{"data":{"id":"us-ky/krs-274.015","jurisdiction":"us-ky","citation":"KRS 274.015","heading":"Professional service corporation authorized -- Articles of incorporation","body":"requirements -- Authority -- Amendment of articles to become business\ncorporation.\n(1) One (1) or more individuals, each of whom is licensed to render the same\nprofessional service or who are licensed to render related professional services such\nthat applicable licensing laws and regulations would not prohibit the practice of\nsuch multiple professional services through a single business partnership, may\nincorporate and form a prof essional service corporation by filing articles of\nincorporation in the office of the Secretary of State. Such articles of incorporation\nshall meet the requirements of KRS Chapter 271B, and in addition to the\ninformation required by KRS 271B.2-020, such articles shall contain the following:\n(a) The designation of the profession or professions to be practiced through the\nprofessional service corporation;\n(b) The names and residence addresses of all the original shareholders of the\nprofessional service corporation; and\n(c) A statement by the incorporator or incorporators that each of the\nincorporators, shareholders, not less than one -half (1/2) of the directors, and\neach of the officers other than secretary and treasurer is a qualified person\nwithin the meaning of this chapter.\n(2) A professional service corporation formed under the provisions of this chapter,\nexcept as this chapter may otherwise provide, shall have the same powers, authority,\nduties, and liabilities as a corporation formed under, and shall be otherwise\ngoverned by, KRS Chapter 271B.\n(3) A professional service corporation that has ceased to be utilized for rendering a\nprofessional service may by amendment of its articles of incorporation delete those\nprovisions otherwise required by subsection ( 1) of this section and adopt a name\nconforming to KRS 271B.4 -010, whereupon the corporation shall be governed\nexclusively by KRS Chapter 271B and not this chapter.","path":["KRS Chapter 274"],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=13782","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:26Z","sha256":"3c511598f899d413b35a36550b77b6357277540f3b7bb17f25dba7379e546b36","source_id":"us-ky","stale":false,"prev":"us-ky/krs-274.010","next":"us-ky/krs-274.017"},"notice":"GroundRules: Original legal text.
