{"data":{"id":"us-ky/krs-275.025","jurisdiction":"us-ky","citation":"KRS 275.025","heading":"Contents of articles of organization.","body":"(1) The articles of organization shall set forth:\n(a) A name for the limited liability company that satisfies the requirements of\nKRS 14A.3-010;\n(b) The registered office and initial registered agent that satisfy the requirements\nof KRS 14A.4-010;\n(c) The mail ing address of the initial principal office of the limited liability\ncompany; and\n(d) A statement that the limited liability company is to be managed by a manager\nor managers or that the limited liability company is to be managed by its\nmembers.\n(2) The te rm of a limited liability company shall be perpetual unless a period of\nduration other than perpetual is set forth in the articles of organization.\n(3) The articles of organization of a professional limited liability company shall\ndesignate the professiona l services to be practiced through the professional limited\nliability company.\n(4) The articles of organization may set forth any other matter that under this chapter is\npermitted to be set forth in an operating agreement not inconsistent with law.\n(5) A m ember of a limited liability company shall not have a vested property right\nresulting from any provision of the articles of organization.\n(6) If the limited liability company is a nonprofit limited liability company, then the\narticles of organization shall state that fact and its nonprofit purpose. This provision\nof the articles of organization shall not be removed from the articles of organization\nwithout written notice to the Attorney General of Kentucky given not less than ten\n(10) business days prior to the filing of the amendment.\n(7) The fact that the articles of organization are on file with the Secretary of State is\nnotice:\n(a) That the limited liability company formed by the filing of the articles of\norganization is a limited liability company forme d under the laws of the\nCommonwealth of Kentucky; and\n(b) Of all other facts set forth in the articles of organization which are required to\nbe set forth by subsections (1), (3), and (6) of this section.","path":["KRS Chapter 275"],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=39663","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:26Z","sha256":"480cf9fc4e6acdeff4dfef829e41dc659561573b6141c8f5ff8920c80f3a3be1","source_id":"us-ky","stale":false,"prev":"us-ky/krs-275.020","next":"us-ky/krs-275.030"},"notice":"GroundRules: Original legal text.
