{"data":{"id":"us-ky/krs-275.035","jurisdiction":"us-ky","citation":"KRS 275.035","heading":"Restatement of articles of organization.","body":"(1) A limited liability company may restate its articles of organization by delivering to\nthe Secretary of State for filing articles of restatement setting forth the name of the\nlimited liability company and the text of the restated articles of organization\ntogether with a certificate stating whether the restatement contains an amendment to\nthe articles of organization requiring member approval and, if it does, setting forth\nthe information required by KRS 275.030(4).\n(2) Restated articles of organization shall supersede the original articles of organization\nand all amendments to them when the restated articles of organization become\neffective pursuant to KRS 14A.2-070.\n(3) The Secretary of State may certify restated articles of organization as the articles of\norganization currently in effect, without including the certificate information\nrequired by subsection (1) of this section.","path":["KRS Chapter 275"],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=36698","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:26Z","sha256":"5de23c0dd7670c6cbb245909cca7acc38d1e900523cec7ac97f728083d9808bb","source_id":"us-ky","stale":false,"prev":"us-ky/krs-275.030","next":"us-ky/krs-275.040"},"notice":"GroundRules: Original legal text.
