{"data":{"id":"us-ky/krs-275.140","jurisdiction":"us-ky","citation":"KRS 275.140","heading":"Effect of statements by members or managers.","body":"(1) Except as provided in subsection (2) of this section, an admission, statement, or\nrepresentation made by any member concerning the business or affairs of a limited\nliability company within the scope of the member's authority as provided for by this\nchapter shall be evidence against the limited liability company.\n(2) If the articles of organization provide that management of the limited liability\ncompany is vested in a manager or managers:\n(a) An admission, statement, or representation made by a manager concerning the\nbusiness or affairs of a limited liability company within the scope of the\nmanager's authority as provided for by this chapter shall be evidence against\nthe limited liability company; and\n(b) The admission, statement, or representation of any me mber, acting solely in\nthe capacity of a member, shall not constitute evidence against the limited\nliability company.","path":["KRS Chapter 275"],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=13856","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:27Z","sha256":"2732bfeffe537fb10895ba33f4dec40182d015d1807cc0eb04e9b618a56de729","source_id":"us-ky","stale":false,"prev":"us-ky/krs-275.135","next":"us-ky/krs-275.145"},"notice":"GroundRules: Original legal text.
