{"data":{"id":"us-ky/krs-275.145","jurisdiction":"us-ky","citation":"KRS 275.145","heading":"Effect of notice to members or managers.","body":"(1) Except as provided in subsection (2) of this section, notice to any member of any\nmatter relating to the business or affairs of the limited liability company, and the\nknowledge of the member acting in the particular matter, acquired while a member\nor known  at the time of becoming a member, and the knowledge of any other\nmember who reasonably could and should have communicated the knowledge to the\nacting member, shall operate as notice to or knowledge of the limited liability\ncompany, except in the case of a  fraud on the limited liability company committed\nby or with the consent of that member.\n(2) If the articles of organization provide that management of the limited liability\ncompany is vested in a manager or managers:\n(a) Notice to any manager of any matte r relating to the business or affairs of the\nlimited liability company, and the knowledge of the manager acting in the\nparticular matter, acquired while a manager or known at the time of becoming\na manager, and the knowledge of any other manager who reason ably could\nand should have communicated the knowledge to the acting manager, shall\noperate as notice to or knowledge of the limited liability company, except in\nthe case of a fraud on the limited liability company committed by or with the\nconsent of that manager; and\n(b) Notice to or knowledge of any member of the limited liability company while\nthe member is acting solely in the capacity of a member shall not constitute\nnotice to or knowledge of the limited liability company.","path":["KRS Chapter 275"],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=13857","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:27Z","sha256":"4e345e4ab809581d8b33d954aa83a157faeaa1eadabd3f6b870348002896a01e","source_id":"us-ky","stale":false,"prev":"us-ky/krs-275.140","next":"us-ky/krs-275.150"},"notice":"GroundRules: Original legal text.
