{"data":{"id":"us-ky/krs-275.150","jurisdiction":"us-ky","citation":"KRS 275.150","heading":"Immunity from personal liability.","body":"(1) Except as provided in subsection (2) of this section or as otherwise specifically set\nforth in other sections in this chapter, no member, manager, employee, or agent of a\nlimited liability company, including a professional limited liability company, shall\nbe personally liable by reason of being a member, manager, employee, or agent of\nthe limited liability company, under a judgment, decree, or order of a court, agency,\nor tribunal of any type, or in any other manner, in this or any other state, or on any\nother basis, for a debt, obligation, or liability of the limited liability company,\nwhether arising in contract, tort, or otherwise. The status of a person as a member,\nmanager, employee, or agent of a limited liability company, including a professional\nlimited liability company, shall not subject the person to personal liability for the\nacts or omissions, including any negligence, wrongful act, or actionable misconduct,\nof any other member, manager, agent, or employee of the limited liability company.\nThat a limited liability company has a single member or a single manager is not a\nbasis for setting aside the rule otherwise recited in this subsection.\n(2) Notwithstanding the provisions of subsection (1) of this section, under a written\noperating agreement or under another written agreement, a member or manager may\nagree to be obligated personally for any of the debts, obligations, and liabilities of\nthe limited liability company.\n(3) Subsection (1) of this section shall not affect the liability of a member, ma nager,\nemployee, or agent of a limited liability company for his or her own negligence,\nwrongful acts, or misconduct.","path":["KRS Chapter 275"],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=40444","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:27Z","sha256":"abd38f1db909ca4d8395381f3a59a8231d0a179362c0c3e6bfd66bc509230f79","source_id":"us-ky","stale":false,"prev":"us-ky/krs-275.145","next":"us-ky/krs-275.155"},"notice":"GroundRules: Original legal text.
