{"data":{"id":"us-ky/krs-275.172","jurisdiction":"us-ky","citation":"KRS 275.172","heading":"Expulsion of member of limited liability company -- Conditions.","body":"(1) On application by the limited liability company, a person is expelled as a member\nby judicial order:\n(a) If the person has engaged or is engaging in wrongful conduct that has\nadversely and materially affected, or will adversely and materially affect, the\ncompany's activities;\n(b) If the person has willfully or persistently committed, or is willfully and\npersistently committing, a material breach of the operating agreement or the\nperson's duties or obligations under KRS 275.170;\n(c) If the person has engaged  or is engaging in conduct relating to the company's\nactivities which makes it not reasonably practicable to carry on the activities\nwith the person as a member; or\n(d) For such other reasons as are set forth in a written agreement.\n(2) Upon the effective date of the expulsion, the expelled member shall be dissociated\nfrom and cease to be a member of the company and with respect to the expelled\nmember's limited liability company interest shall be an assignee.\n(3) Except as set forth in a written operating agreement, the dissociation of a member in\naccordance with this section does not entitle the former member or any assignee to\nany distribution.","path":["KRS Chapter 275"],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=47072","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:27Z","sha256":"00d9af6715a549e6ec9a1e8c76117c6e8874b1324323bc7c18490ca1c1564c13","source_id":"us-ky","stale":false,"prev":"us-ky/krs-275.170","next":"us-ky/krs-275.175"},"notice":"GroundRules: Original legal text.
