{"data":{"id":"us-ky/krs-275.200","jurisdiction":"us-ky","citation":"KRS 275.200","heading":"Obligation to make contribution -- Compromise.","body":"(1) An obligation of a member to make a contribution to the limited liability company\nshall not be enforceable unless set forth in a writing signed by the member.\n(2) Unless otherwise provided in an operating agreement, a member shall be obligated\nto the limit ed liability company to perform any enforceable promise to contribute\ncash or property or to perform services, even if the member is unable to perform\nbecause of death, disability, or other reason.\n(3) If a member does not make a required contribution of p roperty or services, then the\nmember shall be obligated, at the option of the limited liability company, to\ncontribute cash equal to that portion of value of the stated contribution that has not\nbeen made.\n(4) Unless otherwise provided in an operating agre ement, an obligation of a member to\nmake a contribution may be compromised only with the unanimous consent of the\nmembers.\n(5) Notwithstanding any compromise approved pursuant to subsection (4) of this\nsection, a creditor of a limited liability company who  extends credit or otherwise\nacts in reliance on an obligation after the member executes a writing which reflects\nthat obligation and before any such compromise is reached, may enforce the original\nobligation.","path":["KRS Chapter 275"],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=13869","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:27Z","sha256":"d74afab798fe3cb9eff4b42304a3653d20d0a7b077d5f0f4137db8e46747ec6c","source_id":"us-ky","stale":false,"prev":"us-ky/krs-275.195","next":"us-ky/krs-275.205"},"notice":"GroundRules: Original legal text.
