{"data":{"id":"us-ky/krs-275.275","jurisdiction":"us-ky","citation":"KRS 275.275","heading":"Admission to membership in company.","body":"(1) Subject to subsection (2) of this section, a person may become a member in a\nlimited liability company:\n(a) In the case of the person acquiring a limited liability company interest directly\nfrom a limited liability company, upon compliance with an operatin g\nagreement or, if an operating agreement does not so provide in writing, upon\nthe written consent of all members; and\n(b) In the case of an assignee of the limited liability company interest, as provided\nin KRS 275.255 and 275.265.\n(2) The effective time of admission of a member to a limited liability company shall be\nthe later of:\n(a) The date the limited liability company is formed;\n(b) The time provided in the operating agreement or, if no time is provided, when\nthe person's admission is reflected in th e records of the limited liability\ncompany; or\n(c) The time the member is admitted under KRS 275.285(4).\n(3) Upon becoming a member in a limited liability company, the member is bound by\nand a party to the operating agreement.","path":["KRS Chapter 275"],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=40447","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:27Z","sha256":"2d9857023e2415a6fd18c2db9040cea124e83b741b79edb8e78c23015e3781dc","source_id":"us-ky","stale":false,"prev":"us-ky/krs-275.270","next":"us-ky/krs-275.280"},"notice":"GroundRules: Original legal text.
