{"data":{"id":"us-ky/krs-275.285","jurisdiction":"us-ky","citation":"KRS 275.285","heading":"Dissolution of company.","body":"A limited liability company shall be dissolved, and it shall commence to wind up its\naffairs upon the happening of the first to occur of the following:\n(1) The expiration of the term of the limited liability company set forth in the articles of\norganization, if any;\n(2) Upon the occurrence of events specified in the articles of organization or a written\noperating agreement;\n(3) Unless otherwise set forth in the operating agreement, the written consent of all of\nthe members of a limited liability company;\n(4) There are no remaining members, except that the limited liability company shall not\nbe dissolved and its affairs shall not be wound up when:\n(a) A member is admitted to the limited liability company in the manner provided\nfor in a written operating agree ment, effective as of the occurrence of the\nevent that terminated the continued membership of the last remaining\nmember; or\n(b) Unless otherwise provided in a written operating agreement, within ninety\n(90) days after the occurrence of the event that termi nated the continued\nmembership of the last remaining member, the successor-in-interest of the last\nremaining member agrees in writing to continue the limited liability company\nand to the admission of the successor -in-interest of that member or its\ndesignee to the limited liability company as a member, effective as of the\noccurrence of the event that terminated the continued membership of the last\nremaining member;\n(5) Entry of a decree of judicial dissolution under KRS 275.290; or\n(6) Filing of a certificate of dissolution by the Secretary of State under KRS 14A.7-020;\nbut\n(7) If a nonprofit limited liability company does not have members, subsection (4) of\nthis section shall not apply.","path":["KRS Chapter 275"],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=44359","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:27Z","sha256":"50a9a9054cb426ce3da956f5d8da51a178a1f2f8ea89210056f20bdb6bed1ef1","source_id":"us-ky","stale":false,"prev":"us-ky/krs-275.280","next":"us-ky/krs-275.290"},"notice":"GroundRules: Original legal text.
