{"data":{"id":"us-ky/krs-275.290","jurisdiction":"us-ky","citation":"KRS 275.290","heading":"Judicial dissolution.","body":"(1) The Circuit Court for the county in which the principal office of the limited liability\ncompany is located, or, if none, in the county of the registered office, may dissolve a\nlimited liability company in a proceeding by a member if it is established that it is\nnot reasonably practicable to carry on the business of the limited liability company\nin conformity with the operating agreement.\n(2) If after a hearing the court determines that one (1) or more grounds for judicial\ndissolution exist, it may enter a decree of dissolution, and the clerk of the court shall\ndeliver a certified copy of the decree to the Secretary of State, who shall file it. The\ndissolution shall be effective upon the filing of the decree by the Secretary of State\nor a later date as is specified in the decree.\n(3) After entering the decree of dissolution, the court shall direct the winding up and\nliquidation of the limited liability company's business and affairs in accordance with\nKRS 275.300 and the notification of claimants in accordance  with KRS 275.320\nand 275.325.\n(4) The effect of dissolution under this section shall be as provided in KRS 275.300(2)\nand (3).\n(5) After dissolution pursuant to KRS 275.285 or otherwise, upon application of a\nlimited liability company, a member, or a cred itor of the company, the appropriate\ncourt may order judicial supervision of the winding up of the company, including\nthe appointment of a person to wind up the company's activities, if:\n(a) After a reasonable time, the company has not wound up its activities; or\n(b) The applicant establishes other good cause.","path":["KRS Chapter 275"],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=44389","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:27Z","sha256":"65dd0ab48200193abae2ddb4b6e2e2de032b686b0a3d101673b8f758bff47b34","source_id":"us-ky","stale":false,"prev":"us-ky/krs-275.285","next":"us-ky/krs-275.295"},"notice":"GroundRules: Original legal text.
