{"data":{"id":"us-ky/krs-275.375","jurisdiction":"us-ky","citation":"KRS 275.375","heading":"Effect of conversion.","body":"(1) A partnership or limited partnership that has been converted pursuant to this chapter\nshall be for all purposes the same entity that existed before the conversion.\n(2) When a conversion takes effect:\n(a) All property and contract rights owned by, and all r ights, privileges, and\nimmunities of the converting partnership or limited partnership shall remain\nvested in the converted limited liability company without assignment,\nreversion, or impairment;\n(b) All obligations of the converting partnership or limited  partnership shall\ncontinue as obligations of the converted limited liability company;\n(c) An action or proceeding pending against the converting partnership or limited\npartnership may be continued as if the conversion had not occurred and the\nname of the converted limited liability company may be substituted in any\npending action or proceeding for the name of the converting partnership or\nlimited partnership; and\n(d) The written operating agreement of the converted limited liability company\nshall be bindin g upon each person who becomes a member of the limited\nliability company.","path":["KRS Chapter 275"],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=13906","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:27Z","sha256":"b3f3fadf7ec1abf0817989d89738bc274f1b5cc40a418600e2cc61ba713d4293","source_id":"us-ky","stale":false,"prev":"us-ky/krs-275.372","next":"us-ky/krs-275.376"},"notice":"GroundRules: Original legal text.
