{"data":{"id":"us-ky/krs-275.377","jurisdiction":"us-ky","citation":"KRS 275.377","heading":"Effect of conversion of corporation to limited liability company.","body":"(1) A limited liability company that has been converted pursuant to this chapter shall be\nfor all purposes the same entity that existed before the conversion.\n(2) When a conversion takes effect:\n(a) All property and contract rights owned by, and all rights, pr ivileges, and\nimmunities of the converting corporation shall remain vested in the converted\nlimited liability company without assignment, reversion, or impairment;\n(b) All obligations of the converting corporation shall continue as obligations of\nthe converted limited liability company;\n(c) An action or proceeding pending against the converting corporation may be\ncontinued as if the conversion had not occurred, and the name of the\nconverted limited liability company may be substituted in any pending action\nor proceeding for the name of the converting corporation; and\n(d) The written operating agreement of the converted limited liability company\nshall be binding upon each person who becomes a member of the limited\nliability company.","path":["KRS Chapter 275"],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=39668","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:27Z","sha256":"7b9074c473ce0687d39a6f3d79827deca665c7416a65399a1830b081a4394074","source_id":"us-ky","stale":false,"prev":"us-ky/krs-275.376","next":"us-ky/krs-275.380"},"notice":"GroundRules: Original legal text.
