{"data":{"id":"us-ky/krs-275.380","jurisdiction":"us-ky","citation":"KRS 275.380","heading":"Laws governing foreign limited liability company.","body":"(1) Subject to the Constitution of this Commonwealth:\n(a) The laws of the state or other jurisdiction under which a foreign limited\nliability company is organized shall govern its organization and internal\naffairs, including the inspection of the books, record s, and documents, and the\nliability of its members, except as provided in subsection (2) of this section;\nand\n(b) A foreign limited liability company shall not be denied registration by reason\nof any difference between the laws of another jurisdiction unde r which a\nforeign limited liability company is organized and the laws of this\nCommonwealth.\n(2) A certificate of authority obtained pursuant to this chapter shall not authorize a\nforeign limited liability company to exercise any powers or engage in any bus iness\nthat a domestic limited liability company is forbidden to exercise or engage in by\nthe laws of this Commonwealth.","path":["KRS Chapter 275"],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=13909","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:27Z","sha256":"d507cc5fca9bfc020bf7662228540c620ca9112fdc58a24388286076a5e8f862","source_id":"us-ky","stale":false,"prev":"us-ky/krs-275.377","next":"us-ky/krs-275.385"},"notice":"GroundRules: Original legal text.
