{"data":{"id":"us-ky/krs-279.030","jurisdiction":"us-ky","citation":"KRS 279.030","heading":"Articles of incorporation -- What to contain.","body":"(1) The articles of incorporation shall set forth:\n(a) The name of the corporation that satisfies the requirements of KRS 14A.3 -\n010;\n(b) The purpose for which it is formed;\n(c) The place, including the county, where its principal office will be located;\n(d) A reasonable description of the territory in which its operations are to be\nconducted;\n(e) The number of directors;\n(f) The names and post office addresses of the directors who are to manage the\naffairs of the corporation for the first year of its existence,  or until the first\nmeeting called to elect directors, or until the successors of the first directors\nare elected and have qualified;\n(g) The period limited for the duration of the corporation, or that the corporation\nis to be perpetual;\n(h) If the corpora tion is organized without capital stock, the terms upon which\nmembers may be admitted and the terms upon which their membership shall\nterminate;\n(i) If the corporation is organized with capital stock, the amount of the stock, the\nnumber of shares into which it is divided and the par value; and\n(j) If the capital stock is divided into common and preferred stock, as it may be,\nthe number of shares to which preference is granted and the number of shares\nto which no preference is granted, and the nature and def inite extent of the\npreference and privileges granted to each.\n(2) The articles of incorporation may contain any other lawful provision that the\nincorporators choose to insert for the purpose of regulating the business and affairs\nof the corporation, for t he purpose of creating, defining, limiting or regulating the\nrights, powers and duties of the corporation and its board of directors and members,\nand the exercise of any such powers, or for the purpose of creating or defining the\nrights and privileges of t he members of the corporation among themselves,\nincluding separation of members into classes or districts and providing for\nrepresentation of each class or district on the board of directors.","path":["KRS Chapter 279"],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=36724","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:31Z","sha256":"5faeae60bac8696b3759e3ea88b21150d0b0bd1d86514d15fcb22797cec41e90","source_id":"us-ky","stale":false,"prev":"us-ky/krs-279.020","next":"us-ky/krs-279.040"},"notice":"GroundRules: Original legal text.
