{"data":{"id":"us-ky/krs-279.040","jurisdiction":"us-ky","citation":"KRS 279.040","heading":"Filing and approval of articles -- When corporation may begin business.","body":"(1) The incorporators shall execute triplicate originals of the articles of incorporation\nthat satisfy the requirements of KRS 14A.2 -010 to 14A.2 -150, and each\nincorporator shall acknowledge each triplicate original before an officer authorized\nto take ack nowledgments of deeds. They shall then file the triplicate originals,\ntogether with the certificate of acknowledgment, in the office of the Secretary of\nState. If the Secretary of State finds the articles to be legal and valid, he shall\nimmediately indorse his approval on each of the triplicate originals, retain, record\nand file one (1) triplicate original in his office, and deliver the other two (2)\ntriplicate originals, with his approval indorsed thereon, to the incorporators. The\nincorporators shall then  file one (1) approved triplicate original in the office of the\ncounty clerk of the county in which the principal office of the corporation is to be\nlocated.\n(2) As soon as the Secretary of State has filed the articles of incorporation, the proposed\ncorporation shall be a body politic and corporate and may transact business in its\ncorporate name.","path":["KRS Chapter 279"],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=36725","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:31Z","sha256":"c00a39f128fd557d4db5ca6a395554f8f71e77dffccc2c82ff71bbb0a7f908d1","source_id":"us-ky","stale":false,"prev":"us-ky/krs-279.030","next":"us-ky/krs-279.050"},"notice":"GroundRules: Original legal text.
