{"data":{"id":"us-ky/krs-279.050","jurisdiction":"us-ky","citation":"KRS 279.050","heading":"Amendments to articles.","body":"The articles of incorporation may be amended as provided in this section at any regular or\nspecial meeting of the members of the corporation duly called upon notice of the specific\npurpose. The amendment shall first be approved by two -thirds (2/3) of the d irectors and\nthen adopted by a vote representing not less than a majority of the votes entitled to be cast\nby the members present in person, or by proxy (if permitted by the bylaws) and voting at\nsuch meeting. The president of the corporation shall make tr iplicate originals of the\namendments so adopted, each satisfying the requirements of KRS 14A.2 -010 to 14A.2 -\n150 and the secretary of the corporation shall attest each triplicate original. Each triplicate\noriginal shall be acknowledged by the president and the secretary before an officer\nauthorized to take acknowledgments of deeds, and the president shall then cause them to\nbe filed, approved and recorded in the same manner as is provided by KRS 279.040 for\noriginal articles of incorporation, and the amendme nts shall take effect upon filing by the\nSecretary of State.","path":["KRS Chapter 279"],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=36727","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:31Z","sha256":"f112d69625a2807957edf1019b59b4ac4a3dfdd98ea0eff16406c76659306a70","source_id":"us-ky","stale":false,"prev":"us-ky/krs-279.040","next":"us-ky/krs-279.060"},"notice":"GroundRules: Original legal text.
