{"data":{"id":"us-ky/krs-279.170","jurisdiction":"us-ky","citation":"KRS 279.170","heading":"Consolidation of cooperatives.","body":"(1) Any two (2) or more corporations created under this chapter may enter into an\nagreement for their consolidation. The agreement shall set forth the terms and\nconditions of the consolidation, the name of the proposed consolidated corporation,\nthe number of i ts directors, which shall be not less than five (5), the time of the\nannual meetings of the consolidated corporation and the names of the directors who\nare to serve until the first annual meeting. If the agreement is approved by a\nmajority vote of those me mbers voting at each corporation, with the votes cast as\nauthorized by KRS 279.070, the directors named in the agreement shall subscribe\nand acknowledge articles in triplicate originals conforming substantially to the\noriginal articles of incorporation, an d entitled and indorsed \"Articles of\nConsolidation of .....\"\n(2) The articles of consolidation shall state:\n(a) The names of the corporations being consolidated.\n(b) The name of the consolidated corporation.\n(c) Such other items as are required or permitte d to be set forth in the original\narticles of incorporation.\n(3) The articles of consolidation shall be filed, recorded and approved in the same\nmanner, and shall take effect upon approval, as is provided in KRS 279.040 for\noriginal articles of incorporation.\n(4) The articles of consolidation may be amended in the same manner as articles of\nincorporation may be amended under KRS 279.050.","path":["KRS Chapter 279"],"source_url":"https://apps.legislature.ky.gov/law/statutes/statute.aspx?id=14201","current_through":"Includes enactments through the 2026 Regular Session","vintage":"09/05/2026","retrieved_at":"2026-09-05T20:53:31Z","sha256":"c1aaf05544a4fa1cd7e15cc05628078fb4cb1fd044cb691aa26b8eaa7aec81b0","source_id":"us-ky","stale":false,"prev":"us-ky/krs-279.160","next":"us-ky/krs-279.180"},"notice":"GroundRules: Original legal text.
